These Terms of Service ("Terms") govern your access to and use of the VaxFlow website, platform, and related services (collectively, the "Services") provided by VaxFlow ("we", "us", or "our"). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

This page is maintained by VaxFlow and is intended as a starting template. Please review it with qualified legal counsel and adapt it to the jurisdictions and customers you serve before relying on it.

1. Eligibility and accounts

The Services are intended for use by clinics, pharmacies, regional warehouses, ministries of health, and their authorized personnel. To use most features you must register for an account on behalf of an organization. You confirm that you have the authority to bind the organization you represent and that the information you provide is accurate and current.

You are responsible for safeguarding your credentials and for all activity that occurs under your account. Notify us promptly at the contact address below if you suspect unauthorized access.

2. Acceptable use

You agree not to:

• Use the Services in violation of any applicable law, regulation, or third-party right.
• Upload content that is unlawful, infringing, harmful, or that contains malicious code.
• Attempt to gain unauthorized access to the Services, related systems, or other users' data.
• Resell, sublicense, or otherwise exploit the Services without our written consent.
• Use the Services to make clinical decisions in a manner that bypasses qualified professional judgment.

3. Healthcare data and professional responsibility

The Services may be used to manage ordering, scheduling, allocation, and stock information related to vaccines. You are solely responsible for the clinical accuracy of the data you enter and for the medical, regulatory, and operational decisions you make using the Services. The Services are tools that support — not replace — qualified medical and operational professionals.

4. Customer data and confidentiality

You retain all rights in the data you submit to the Services ("Customer Data"). You grant us a limited license to host, process, and transmit Customer Data solely to provide and improve the Services. Our handling of personal data is described in our Privacy Policy.

Where the Services are used to process protected health information or other regulated data, the parties will, where required, enter into a separate data processing or business associate agreement before such processing begins.

5. Fees

Fees, billing cycles, and payment terms (if any) are described in the applicable order form or subscription agreement. Unless otherwise stated, fees are non-refundable. You are responsible for applicable taxes.

6. Intellectual property

The Services, including the platform, software, design, and documentation, are owned by VaxFlow and its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Services during the term of your subscription and in accordance with these Terms.

7. Third-party services

The Services may interoperate with third-party products (for example, email providers, cloud infrastructure, or analytics tools). We are not responsible for third-party services, and your use of them is subject to the third party's own terms.

8. Service availability

We work to keep the Services available and reliable, but we do not guarantee uninterrupted operation. Scheduled maintenance, third-party outages, or events outside our reasonable control may affect availability.

9. Disclaimers

The Services are provided on an "as is" and "as available" basis. To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. The Services do not provide medical advice.

10. Limitation of liability

To the maximum extent permitted by applicable law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill. Our total aggregate liability arising out of or relating to the Services will not exceed the fees you paid to us for the Services in the twelve months preceding the event giving rise to the liability.

11. Indemnification

You agree to defend and indemnify VaxFlow against third-party claims arising from your Customer Data, your use of the Services in violation of these Terms, or your violation of applicable law.

12. Term and termination

These Terms apply while you use the Services. We may suspend or terminate your access if you materially breach these Terms or if continued use poses a security or legal risk. Upon termination, your right to use the Services ends; sections that by their nature should survive will continue to apply.

13. Changes to the Services or Terms

We may update the Services and these Terms from time to time. Material changes will be communicated through the Services or by other reasonable means. Your continued use after an update constitutes acceptance of the revised Terms.

14. Governing law

These Terms are governed by the laws of the jurisdiction specified in your order form, or, if none is specified, the jurisdiction in which VaxFlow is established, without regard to conflict-of-laws principles.
